Copied below is the text of a June 25, 2004 letter from Lewis
Ranieri, Chairman of the Computer Associates board of directors, in response to
a June 16, 2004 letter concerning shareholder
interest in the recovery of miscalculated executive compensation.

Dear Mr. Lutin:
I write in response to your letter of June 16, 2004.
As Computer Associates International, Inc. (“CA”) has
previously reported, CA is cooperating with the Department of Justice and
the Securities and Exchange Commission in their investigation of various
matters. In connection with the government investigation, CA’s Board of
Directors is continuing to review the matter of compensation paid or due
to the individuals subject to the investigation, and possibly others.
Following the completion of the this [sic] review, the Board will take
such action as it deems appropriate.
