Shareholder Delegate's Reiteration of Demands for Information Needed Before Annual Meeting

(January 29, 2004)

Copied below is the text of a January 29, 2004 letter from the shareholder Delegate, Peter F. Brennan, seeking a timely response to his January 12, 2004 demand for records.

The letter refers to the original demand's statement that the information is needed for investor decisions concerning matters to be presented for voting at the annual meeting of shareholders.  At the time of this communication, the company's most recently revised preliminary proxy statement, filed with the SEC on January 15, 2004, indicated that the shareholders meeting would be scheduled for an unspecified date in February 2004.

Re: January 12, 2004 demand to inspect records

Dear Mr. Simmons:

I have not yet received any response to my January 12, 2004 demand for records.

As stated, the demanded information is relevant to investor interests that include matters to be presented for voting at the company’s annual meeting.  The records should be made available sufficiently in advance of that meeting to allow reasonable review and consideration.

Please let me know your intentions by tomorrow.

                                                            Very truly yours,

                                                            Peter F. Brennan,

                                                                        as Delegate
