General Information

The NYSSA Committee for Corporate Governance has established a Workshop for Amazon.com analysts in conjunction with the Committee's program initiated in July 2000, "Amazon.com Forum: Responsibility for Investment Information." The Workshop's purpose is to address the increasingly controversial issues raised by some of the analysts who cover Amazon, as well by the broader investment community and the press:

  • What are the cash flows actually generated or used by operations?

  • Is this consistent with Amazon's published reports and other communications?

  • If not, how should the company present the information to avoid any confusion?

We have invited participation by people with expertise which may be pertinent to the Workshop's interests, including business analysis and cash flow budgeting, accounting standards, and SEC disclosure rules.

The objectives of the November 14th meeting of the Workshop are to

  • determine Amazon's cash flows generated from operations during the past year, and

  • develop a list of written information requests to be submitted to Amazon.com for public response.

Amazon.com has agreed to make its representatives available by telephone to respond to questions requiring attention during the meeting.

This Workshop is being conducted as part of the Amazon.com Forum sponsored by the Committee for Corporate Governance and Shareholder Rights, chaired by Peter F. Brennan, with the support of Gary Lutin, the investment banker who has been the adviser and co-sponsor of this and previous Forum Programs.

Material dated between January 1999 and July 2001 was originally published on the web site of the New York Society of Security Analysts ("NYSSA"), and was provided by Gary Lutin as co-sponsor of a "Forum Program" conducted for public educational purposes with NYSSA's Committee for Corporate Governance and Shareholder Rights during that period. Material dated after July 2001 was not published by the NYSSA unless specifically indicated.
