For those of you who are interested in the questions raised in the Bear Stearns situation about theories of shareholder and creditor rights in the “zone of insolvency,” the New York Society of Security Analysts ("NYSSA") is presenting a program this Monday, April 28, from 3:30PM to 5:00PM with two experts to explain the legal issues and applications.  A description of the program is copied below, with a link to the NYSSA web site.

What are management’s responsibilities to creditors as the viability of equity becomes questionable? What actions can debt and equity holders take to protect their rights? Join Professor Jonathan R. Macey of Yale Law School and John Sweeney of Standard and Poor’s for a discussion on the theory and practice of both equity and creditor’s rights.

Jonathan R. Macey is deputy dean and Sam Harris professor of corporate law, corporate finance and securities law at Yale University, and professor in the Yale School of Management. Macey is the author of several books including the two-volume treatise, Macey on Corporation Laws, and co-author of two leading casebooks, Corporations: Including Partnerships and Limited Liability Companies and Banking Law and Regulation. Macey earned his BA, cum laude, from Harvard and his JD from Yale Law School. He received a PhD honoris causa from the Stockholm School of Economics.

John Sweeney is a director in corporate and government ratings at Standard & Poor’s. He has been a member of the corporate and government ratings group since January 2006. Sweeney is responsible for the analysis and assignment of loan and recovery ratings in North America. Prior to joining Standard and Poor’s, Sweeney worked for Barclays Capital, Dresdner Kleinwort Wasserstein and HVB Group where he was actively involved in leverage finance structuring and underwriting, loan syndications, portfolio management, asset recovery and debt restructures. Sweeney holds an MBA in finance from Adelphi University, and a BBA in business management and finance from Dowling College, and completed Manufacturer’s Hanover Trust’s corporate credit training program.
