(June 6, 2002)

June 6, 2002 Distribution to Participants:

Subject: Expert guidance on food industry M&A

In the process of discussing various suggestions for optimizing the value of Farmer Brothers' business operations, it has become clear that the Forum's "Workshop for Plan Valuations" could benefit from specific expertise in the practical execution of development and sale strategies.

I've therefore asked Marco V. Galante of the J.H. Chapman Group LLC, the leading food industry M&A advisers, to contribute courtesy guidance to the Workshop in its definition and valuation of alternatives for the coffee processing and food distribution operations.  Access to his professional knowledge of the industry's practices and priorities, particularly as applied to corporate development strategies, should be used to assure the reality and feasibility of any plans presented by the Workshop.  Forum participants are asked to respect Mr. Galante's goodwill gesture, and to understand that he and his firm are not undertaking duties to provide advice, opinions, or any other services which might conflict with possible future engagements relating to Farmer Brothers.

Background information on the J.H. Chapman Group LLC can be found on their web site at the following address: http://www.jhchapman.com.  Mr. Galante's background is summarized on the Chapman web site at this address: http://www.jhchapman.com/mvg.html.
