Management Report of Voting at Annual Meeting

(September 18, 2006)

Copied below is an announcement issued by CA management reporting that directors received from 74% to 98% of the votes cast at this morning's annual meeting of shareholders.  No further details of the vote were made available.

The announcement also reports generally that shareholders ratified the auditors and did not adopt the shareholder resolution for poison pill limitations.  Based on what was stated during the meeting, the vote for auditor ratification was heard to be  92% and the vote for the shareholder's poison pill resolution was 41%.

For purposes of analyzing investor support of the matters presented at the meeting, it should be noted that according to the company's proxy statement 22.11% of the outstanding CA shares are controlled by Walter Haefner, the 96 year old Swiss investor who has consistently supported the company's management.  Another 14.69% of outstanding shares are held by Private Capital Management, which has in past years publicly stated its support of the CA board.

CA REPORTS PRELIMINARY RESULTS OF STOCKHOLDER VOTING
AT ANNUAL MEETING
 All Directors Elected

ISLANDIA, N.Y., September 18, 2006 – CA (NYSE: CA) today announced the preliminary results of stockholder voting at its 2006 Annual Meeting of Stockholders. The Company reported that approximately 92 percent of the outstanding shares were represented either in person or by proxy at the meeting.

 

CA stockholders voted to elect all eleven members of the Board of Directors for one-year terms. CA's preliminary results indicate that all of the directors received between approximately 74 and 98 percent of the votes cast. Stockholders also ratified the appointment of KPMG LLP as the Company's independent registered public accountants for the fiscal year ending March 31, 2007, and the stockholder proposal to amend the by-laws with respect to the adoption or maintenance by the Board of Directors of any CA rights plan was not adopted.
