Management Statement Concerning Chairman's Condition

(July 3, 2003)

Responding to a July 1, 2003 letter urging the company's board to provide investors with information addressing "differing reports" about the health of the company's Chairman, the company's Treasurer sent a letter to Gary Lutin on July 3, 2003 stating that "Mr. Farmer is fully capable of performing his duties as Chairman," and that the lawyer defending Mr. Farmer in an action to have him removed as a trustee stated that he had been misquoted in a June 23, 2003 article in The Los Angeles Business Journal.*
