Delegate Request for Specific Management
Commitments to Provide Information
(March 31, 2003)
Copied below is the text of a March 31, 2003 letter from the
shareholder Delegate, Peter F. Brennan, seeking clarification of a reported
statement by Farmer Bros. Co. expressing management's intent to provide the information requested in
the
Delegate's March 13, 2003 letter.
Noting that the company has not yet reported any of the information or responded
directly to the Delegate, the March 31 letter asks management for its specific
plans to publish each item of requested information. And for any requested
information that the company will not publicly report within a month, the
company is asked to respond to the demand for relevant records within a week.
The news report cited in the March 31 letter was published in
the
March 24, 2003
edition of the Los Angeles Business Journal. The letter also
refers to the unanswered request for clarification of management's intentions in
a March 24, 2003 letter, and to the company's
recent response to a similar demand for records presented initially by Franklin
Mutual Advisers, LLC, in a July
26, 2002 letter.

Re: Request for information and
demand to inspect records
Dear Mr. Simmons:
Although a March 24, 2002 news report quoted a prepared
statement that Farmer Bros. management “will provide information” in
response to my March 13, 2003 letter as Delegate, I have not yet seen any
public report of the requested information.
As you probably know, I have not received any direct communication from
anyone representing Farmer Bros. regarding management’s intentions. I also
understand that the company’s management has not responded to a March 24,
2002 request of the shareholder Forum’s chairman for publication of the full
statement to which the news report referred.
You are therefore asked to provide me with a written statement
within a week specifying which of the items requested in my March 13 letter,
listed as “A” through “F,” you intend to report publicly, and when you
expect to do so. For any items you will not publicly report within one
month, please provide the relevant material in response to the demand for
records listed in my letter as items “1” through “6” within a week. It is
assumed that your response to the demand for records will consist of a
duplicate of what was sent to Franklin Mutual Advisers in response to their
similar demand, supplemented as required by subsequent developments.
